You've found the perfect property in Israel, the contract is ready to sign, but there's one problem: you're in New York and the closing is scheduled for next week in Jerusalem. What do you do?

This is where a Power of Attorney (Yiפuy Koach in Hebrew) becomes essential. It's a legal document that allows you to designate someone else—typically your Israeli lawyer—to act on your behalf for the real estate transaction.

For American buyers purchasing Israeli property from abroad, understanding how Power of Attorney works is critical. Used correctly, it's an incredibly useful tool. Used incorrectly or carelessly, it can create serious problems.

What is a Power of Attorney?

A Power of Attorney (POA) is a legal document that grants another person (called your "attorney-in-fact" or "agent") the authority to perform specific actions on your behalf. In the context of Israeli real estate, this typically means authorizing someone to:

  • Sign the purchase contract
  • Sign mortgage documents
  • Make payments
  • Represent you at closing
  • Sign documents for the Tabu (Land Registry) transfer

Think of it as temporarily giving someone your legal signature for very specific, defined purposes.

Types of Power of Attorney for Israeli Real Estate

There are two main types of POA, and understanding the difference is crucial:

1. General Power of Attorney (Yipuy Koach Klali)

This grants broad authority to your agent to act on your behalf for a wide range of matters. While this sounds convenient, it's actually quite risky for real estate transactions because it gives your agent extensive power without specific limitations.

  • When to avoid it: For real estate transactions, a general POA is almost never recommended. It gives your agent too much discretion and could theoretically allow them to make decisions you wouldn't approve of.

2. Limited (Specific) Power of Attorney (Yipuy Koach Mezumtzam)

This grants authority only for specific, clearly defined actions related to a particular property transaction. This is the right tool for real estate purchases.

  • Why this is better: A limited POA specifies exactly what your agent can and cannot do. For example, it might authorize them to sign the purchase contract for a specific property (identified by its Gush and Helka numbers), but nothing else. This limits risk while still giving them the authority needed to complete the transaction.

How to Execute a Valid Power of Attorney

For a POA to be legally valid for use in Israel, it must be executed properly. The process depends on where you are when you sign it.

If You're in the United States:

  1. Draft the POA: Your Israeli lawyer will draft the specific POA document in Hebrew, with an English translation. It will include exact details about the property, the transaction, and precisely what authority you're granting.
  2. Notarization: You must sign the POA in front of a licensed US notary public. The notary verifies your identity and witnesses your signature.
  3. Apostille: This is the critical step many people miss. After notarization, the document must receive an Apostille—an international certification that validates the notary's authority. In the US, Apostilles are issued by the Secretary of State in the state where the document was notarized.
  4. Translation (if needed): If the US notary signed the notarization in English, that portion may need to be officially translated to Hebrew by a certified translator.
  5. Submission to Israel: The notarized and apostilled POA is then sent to your lawyer in Israel, who can use it to represent you.

If You're in Israel:

If you happen to be in Israel when you need to execute a POA, the process is simpler. You can sign it directly at an Israeli notary's office (Notarion) or at the Israeli consulate if you're back in the US.

What Should Be Included in a Real Estate POA?

A properly drafted limited POA for Israeli real estate should include:

  • Your full legal name and identification details (passport number)
  • The full name and details of the person you're appointing as your agent
  • Exact identification of the property (full address, Gush and Helka numbers)
  • Specific actions your agent is authorized to perform (signing contracts, transferring funds, etc.)
  • Clear limitations on what your agent cannot do
  • Expiration date (POAs should not be open-ended)
  • Your signature, properly notarized and apostilled

Critical Protections When Using a POA

While a POA is a useful tool, you must protect yourself:

  • Only Appoint Someone You Trust Completely: This person will have significant authority. In most cases, this should be your Israeli real estate lawyer—someone who is bound by professional ethics and legal obligations.
  • Make it as Specific as Possible: The narrower the scope, the better. Don't authorize actions beyond exactly what's needed for the specific transaction.
  • Set an Expiration Date: Your POA should expire once the transaction is complete or after a specific date. Don't leave it open-ended.
  • Require Reporting: Include a clause requiring your agent to report to you before taking any major action under the POA, even if they technically have the authority to act without asking.
  • Keep Originals Secure: The original POA is a powerful document. Ensure it's stored securely and only used when necessary.

Common Mistakes to Avoid

  • Forgetting the Apostille: A notarized POA without an Apostille is not valid for use in Israel. This is the most common mistake and can cause significant delays.
  • Using a General POA Instead of a Limited One: Don't give someone blanket authority when specific authority is all that's needed.
  • Not Reading the POA Before Signing: Make sure you understand exactly what authority you're granting. If anything is unclear, ask your lawyer to explain it in plain English.
  • Signing Before the Property is Identified: Don't sign a POA for "any property" your agent selects. The specific property should be identified in the POA document.

Can You Revoke a Power of Attorney?

Yes, you can revoke a POA at any time, but you must do so properly:

  1. Draft a Revocation Document: This must be done formally, in writing, and should reference the original POA by date and parties.
  2. Notify Your Agent: Provide written notice to the person who holds the POA that it is revoked.
  3. Notify Relevant Parties: If your agent has already presented the POA to banks, the Land Registry, or other institutions, they must also be notified of the revocation.
